Referral programme terms and conditions

The terms governing participation in the lalalab referral programme, qualified referrals and referral rewards.

1. About lalalab and these Terms

1.1

The Referral Programme is operated by Kaminari B.V., trading as lalalab, with its business address at Oudeschans 72a, 1011 LE Amsterdam, the Netherlands, registered with the Dutch Chamber of Commerce under number 63670887 and with VAT identification number NL855345767B02, hereinafter referred to as “lalalab”, “we”, “us” or “our”.

1.2

These Referral Programme Terms and Conditions, hereinafter referred to as the “Terms”, apply to:

  1. participation in the lalalab referral programme, hereinafter referred to as the “Referral Programme”;
  2. the submission of introductions and referrals to lalalab;
  3. the use of the website, forms, referral links and other tools made available in connection with the Referral Programme; and
  4. any Referral Reward offered or paid under the Referral Programme.

1.3

By:

  1. selecting a box confirming acceptance of these Terms;
  2. submitting a Referral;
  3. using a referral link or referral code; or
  4. otherwise participating in the Referral Programme,

the participant confirms that they have read, understood and agreed to these Terms and the lalalab Privacy Policy.

1.4

Where a participant acts on behalf of a company or other legal entity, the participant confirms that they are authorised to bind that company or legal entity to these Terms.

1.5

These Terms govern only the relationship between lalalab and the participant in the Referral Programme. Any cooperation with a Referred Organisation, and any provision, licensing or commercialisation of data, will be governed by separate agreements.

2. Definitions

In these Terms, the following definitions apply:

Accepted Referral
a Referral that lalalab has expressly confirmed in writing as accepted.
Contact Person
the individual introduced as a contact within or on behalf of a Referred Organisation.
Data Provider
a Referred Organisation that owns, controls or is otherwise legally authorised to provide, make available or license certain data.
Participant
the individual or legal entity participating in the Referral Programme.
Qualified Net Revenue
amounts actually and unconditionally received by lalalab under an agreement with a Referred Organisation, excluding VAT and other taxes, refunds, credits, chargebacks, third-party costs, pass-through amounts and amounts received by lalalab on behalf of another party.
Qualified Referral
an Accepted Referral that satisfies all the requirements set out in Section 6.
Referral
an introduction submitted by a Participant relating to an organisation that may possess relevant data, datasets, databases, research data, user interactions, expert knowledge, human assessments or other information resources.
Referral Reward
the amount a Participant may become entitled to receive for a Qualified Referral.
Referred Organisation
the company, institution, public-sector body, healthcare organisation, research organisation, association, foundation or other legal entity to which a Referral relates.
Reward Schedule
the applicable conditions, amounts, percentages, thresholds, time periods and maximum amounts relating to a Referral Reward.
Website
the lalalab website, forms and digital environments through which the Referral Programme is offered.

3. Purpose of the Referral Programme

3.1

The purpose of the Referral Programme is to introduce lalalab to organisations that may possess relevant and lawfully usable data.

3.2

The submission or acceptance of a Referral does not mean that:

  1. lalalab is required to enter into negotiations with the Referred Organisation;
  2. lalalab is required to enter into an agreement;
  3. the relevant data is suitable, lawfully usable or commercially valuable;
  4. the Referred Organisation is legally authorised to provide or license the relevant data;
  5. lalalab has assigned a particular value to the data; or
  6. the Participant is automatically entitled to a Referral Reward.

3.3

lalalab independently determines:

  1. which types of data are relevant;
  2. whether a Referral will be investigated;
  3. which due-diligence procedures will be conducted;
  4. whether and on what terms a commercial relationship will be established;
  5. how data will be evaluated from a legal, technical and commercial perspective; and
  6. the terms of any agreement entered into with a Referred Organisation.

3.4

A Participant is not entitled to confidential information regarding negotiations between lalalab and a Referred Organisation, except to the extent reasonably necessary to establish whether a Referral Reward has become payable.

4. Eligibility

4.1

Participation is open to individuals who are at least 18 years old and to validly existing companies and other organisations.

4.2

A Participant must:

  1. have legal capacity to participate;
  2. provide accurate and complete information;
  3. be legally permitted to participate in the Referral Programme;
  4. comply with all applicable laws and regulations; and
  5. comply with these Terms and any reasonable instructions issued by lalalab.

4.3

Employees, directors, contractors and other representatives of lalalab are eligible for a Referral Reward only where lalalab has expressly confirmed this in writing in advance.

4.4

A Participant must not submit a Referral where participation in the Referral Programme or receipt of a Referral Reward:

  1. breaches an employment agreement, consultancy agreement, internal policy or other contractual obligation;
  2. creates a prohibited conflict of interest;
  3. breaches anti-bribery, procurement or integrity rules;
  4. is prohibited by the Participant’s employer, client or principal; or
  5. is otherwise unlawful.

4.5

lalalab may conduct reasonable identity, sanctions, fraud-prevention and compliance checks before accepting a Participant or paying a Referral Reward.

5. Submitting a Referral

5.1 Permitted submission methods

A Referral must be submitted:

  1. through the designated form on the Website;
  2. through a personal referral link or referral code;
  3. through a warm introduction in which an authorised Contact Person is visibly included; or
  4. through another method expressly approved by lalalab.

5.2 Required information

A Referral must include at least:

  1. the name of the Referred Organisation;
  2. the name and business contact details of an authorised Contact Person;
  3. a brief description of the potential dataset or data source;
  4. the relationship between the Participant and the Referred Organisation;
  5. confirmation that the Contact Person is aware of the introduction; and
  6. details of any employment relationship, ownership interest, financial interest or other relevant connection.

5.3 No datasets or confidential information

A Participant must not submit any of the following as part of an initial Referral:

  1. raw datasets;
  2. medical or patient records;
  3. special-category personal data;
  4. criminal-offence data;
  5. trade secrets;
  6. source code;
  7. confidential documents;
  8. personal data relating to patients, clients, employees or consumers; or
  9. any other sensitive or protected information.

Such information may only be provided where lalalab has expressly requested it in writing and appropriate contractual, privacy and security arrangements have been put in place.

Only the minimum information reasonably required to assess the relevance of the Referral may be submitted at the initial stage.

5.4 Permission from the Contact Person

Before submitting a Referral, the Participant must:

  1. clearly inform the Contact Person that their details will be shared with lalalab;
  2. explain that lalalab may contact them regarding a potential data or commercial partnership;
  3. have permission to provide their business contact details to lalalab; and
  4. be able to demonstrate that permission if requested.

Participants should preferably make a warm introduction or invite the Contact Person to submit their own details through a referral link.

5.5 Accuracy

The Participant represents that all information submitted is, to the best of their knowledge:

  1. accurate;
  2. current;
  3. complete;
  4. not misleading; and
  5. lawfully obtained.

6. Qualified Referrals

6.1

A Referral becomes a Qualified Referral only where all the following requirements have been met:

  1. the Participant satisfies the eligibility requirements;
  2. the Referral was submitted correctly;
  3. lalalab has confirmed the Referral as an Accepted Referral;
  4. the Referral does not concern an existing or excluded relationship under Section 7;
  5. the required permission for the introduction has been obtained;
  6. the Referred Organisation enters into a written commercial agreement with lalalab within the applicable eligibility period;
  7. the agreement is directly connected to the Referral;
  8. all requirements of the applicable Reward Schedule have been satisfied;
  9. lalalab has actually received the required payment in cleared and freely available funds; and
  10. no exclusion, repayment or fraud provision under these Terms applies.

6.2

A Referral becomes an Accepted Referral only when lalalab expressly confirms its acceptance in writing.

6.3

An automated acknowledgement, form confirmation or other message confirming technical receipt of a Referral does not constitute acceptance.

6.4

Unless a different period is stated in the written acceptance, an Accepted Referral remains valid for twelve months from the date of acceptance.

6.5

If no written commercial agreement is entered into with the Referred Organisation during that period, the Accepted Referral expires and no Referral Reward becomes payable.

6.6

lalalab may extend the eligibility period in writing.

7. Existing Relationships and Duplicate Referrals

7.1 Existing relationships

A Referral is not eligible where lalalab can demonstrate that, during the six months before the Referral was submitted, lalalab:

  1. was already engaged in an active commercial discussion with the Referred Organisation concerning a data or comparable partnership;
  2. had already submitted a commercial proposal to the Referred Organisation;
  3. had already been introduced to the relevant decision-maker by another party;
  4. had already recorded the Referred Organisation as an active data or commercial prospect; or
  5. already had an agreement with the Referred Organisation.

A listing in a general marketing database, mailing list or inactive prospect list is not, by itself, sufficient to exclude a Referral.

7.2 Duplicate Referrals

Where more than one person refers the same Referred Organisation, only the first valid and verifiable Referral will normally be eligible. lalalab may consider:

  1. the date and time of submission;
  2. the quality and specificity of the introduction;
  3. whether the correct authorised Contact Person was introduced;
  4. whether a meaningful commercial connection was actually made; and
  5. any earlier active contacts.

7.3 Affiliated companies

A Referral relating to one company within a corporate group does not automatically apply to other companies within that group. An affiliated company is included only where:

  1. it is expressly included in the written acceptance; or
  2. the applicable Reward Schedule expressly provides for it.

7.4 Referring an employer or related company

A Participant may refer an organisation in which the Participant:

  1. is employed;
  2. is a director;
  3. is a shareholder or beneficial owner;
  4. acts as an adviser or contractor; or
  5. otherwise has a financial interest,

only where the relationship has been fully disclosed to lalalab in writing before the Referral is submitted. lalalab may require written approval from the Referred Organisation or may exclude the Referral.

8. Referral Assessment

8.1

lalalab will assess Referrals reasonably and using its commercial, legal, technical and strategic criteria.

8.2

lalalab may reject a Referral where:

  1. the Referral is irrelevant or insufficiently specific;
  2. the information is incomplete or cannot reasonably be verified;
  3. permission from the Contact Person is missing;
  4. the Referral concerns an existing or duplicate relationship;
  5. a conflict of interest exists;
  6. compliance, integrity or reputational risks exist;
  7. the potential data does not fit lalalab’s activities;
  8. the Referral breaches these Terms; or
  9. lalalab does not wish to pursue the opportunity for commercial or strategic reasons.

8.3

Rejection of a Referral does not entitle the Participant to compensation or reimbursement of expenses.

8.4

lalalab is not required to disclose its complete commercial, legal or technical assessment to the Participant.

8.5

lalalab will not use its discretion arbitrarily to avoid paying a Referral Reward that has objectively been earned under these Terms.

9. Separate Assessment of Data

9.1

Acceptance of a Referral does not constitute approval of the underlying data or dataset.

9.2

Before lalalab receives, uses, commercialises, transfers, makes available or licenses any data, lalalab may conduct due diligence concerning:

  1. ownership and authority to provide the data;
  2. copyright and database rights;
  3. contractual restrictions;
  4. personal data and privacy risks;
  5. confidentiality and trade secrets;
  6. permissions, legal bases and purpose limitation;
  7. data quality, provenance and documentation;
  8. security measures;
  9. export controls and sanctions;
  10. sector-specific regulation; and
  11. technical and commercial suitability.

9.3

Any cooperation with a Data Provider will be governed by a separate written agreement.

9.4

Unless otherwise agreed in writing, the Participant:

  1. is not a party to that agreement;
  2. does not acquire any ownership or usage rights in the data;
  3. is not authorised to negotiate on behalf of lalalab or the Data Provider; and
  4. is entitled only to the Referral Reward earned under these Terms.

10. Referral Rewards

10.1 Applicable Reward Schedule

For each Accepted Referral, lalalab will confirm in writing which Reward Schedule applies. The confirmation will include at least:

  1. the method used to calculate the Referral Reward;
  2. the applicable currency;
  3. the maximum amount;
  4. the qualifying commercial event;
  5. any minimum contract value or revenue threshold;
  6. the eligibility period; and
  7. any specific additional conditions.

10.2 Advertised maximum amounts

Any maximum amount stated on the Website, including wording such as “up to” a particular amount, represents only the highest possible Referral Reward. The actual amount depends on:

  1. the applicable Reward Schedule;
  2. the nature and value of the commercial agreement;
  3. the Qualified Net Revenue received by lalalab;
  4. any minimum amounts, thresholds and caps; and
  5. the other applicable conditions.

10.3 Calculation basis

Unless agreed otherwise in writing, a Referral Reward is calculated only on Qualified Net Revenue. The following amounts are excluded:

  1. VAT and other taxes;
  2. unpaid invoices;
  3. discounts, credits and refunds;
  4. chargebacks and reversals;
  5. fines and damages;
  6. travel, infrastructure, hosting and implementation costs;
  7. external legal, compliance and data-processing costs;
  8. amounts paid or payable to the Data Provider or other third parties; and
  9. other pass-through costs.

10.4 One-off and recurring rewards

A Referral Reward is a one-off reward unless the applicable Reward Schedule expressly states that subsequent payments, extensions or renewals are included. Without such express written confirmation, no Referral Reward is payable for:

  1. renewals;
  2. follow-on assignments;
  3. new datasets;
  4. other group companies;
  5. other products or services; or
  6. transactions that do not directly result from the Referral.

10.5 When a Referral Reward is earned

A Referral Reward is earned only when:

  1. the Referral has become a Qualified Referral;
  2. lalalab has received the qualifying payment in full;
  3. a verification and reversal period of 30 days has expired; and
  4. the Participant has provided all required payment, identification and tax information.

A signed letter of intent, pilot agreement, commercial agreement, purchase order or invoice is not, by itself, sufficient.

10.6 Payment deadline

lalalab will pay an earned Referral Reward within 30 days after the end of the calendar month in which all the conditions in Section 10.5 were satisfied.

10.7 Payment service providers

lalalab may use an external payment service provider. The Participant may be required to create an account with the provider and comply with its reasonable identification and payment requirements. lalalab may share the information necessary to process the payment in accordance with its Privacy Policy.

10.8 Bank and currency costs

Unless stated otherwise in writing:

  1. charges imposed by the receiving bank are payable by the Participant;
  2. payment will be made in the currency specified in the Reward Schedule; and
  3. any required currency conversion will be made using the exchange rate applied by the relevant bank or payment service provider on the payment date.

11. Invoicing, Taxes and Reporting

11.1

All Referral Rewards are gross amounts.

11.2

The Participant is solely responsible for:

  1. reporting and paying income tax, corporation tax and other applicable taxes;
  2. any VAT obligations;
  3. compliance with local tax requirements; and
  4. obtaining independent tax advice where necessary.

11.3

A business Participant must provide a legally valid invoice where required before payment can be made.

11.4

An individual Participant must provide any information reasonably required by lalalab for payment and legal reporting, which may include:

  1. full name;
  2. address;
  3. date of birth;
  4. bank account details;
  5. tax identification information; and
  6. identification documents.

11.5

lalalab may deduct or withhold amounts where legally required.

11.6

lalalab may report Referral Rewards to tax authorities or other competent authorities where required by law.

11.7

United States tax forms, including Forms W-8 or W-9, will be requested only where relevant to the Participant’s residence, establishment or tax status.

12. Verification, Suspension and Repayment

12.1 Verification

Before making payment, lalalab may verify:

  1. the identity of the Participant;
  2. the accuracy of the Referral;
  3. the original source of the introduction;
  4. the Contact Person’s permission;
  5. the relationship between the Participant and the Referred Organisation;
  6. the calculation of the Referral Reward; and
  7. compliance with these Terms.

12.2 Temporary suspension

lalalab may temporarily suspend payment where further investigation is reasonably required. lalalab will inform the Participant of the suspension and will aim to complete the investigation within 60 days. Where additional time is required, lalalab will provide an explanation.

12.3 Refusal or reduction

A Referral Reward may be refused or reduced only where:

  1. the requirements of the Reward Schedule have not been satisfied;
  2. the Referral is not or has ceased to be a Qualified Referral;
  3. information provided was inaccurate, incomplete or misleading;
  4. permission for the introduction was missing;
  5. fraud, abuse or a duplicate Referral has occurred;
  6. the Participant has breached these Terms;
  7. the underlying payment has not been received in full; or
  8. lalalab is legally prohibited from making payment.

12.4 Clawback

Where lalalab has paid a Referral Reward and the underlying qualifying payment is subsequently:

  1. refunded;
  2. credited;
  3. reversed;
  4. found to be fraudulent;
  5. found to have been paid in error; or
  6. otherwise wholly or partly unwound,

lalalab may recover the corresponding part of the Referral Reward.

12.5 Set-off

lalalab may set off an amount that is due for repayment against future Referral Rewards after informing the Participant of the basis and calculation in writing.

12.6 No arbitrary clawback

lalalab will not reclaim an earned and paid Referral Reward solely because:

  1. the Referral Programme is changed or discontinued;
  2. lalalab later adopts a different commercial preference; or
  3. lalalab later terminates its relationship with the Referred Organisation for unrelated reasons,

unless a specific ground for repayment under this Section applies.

13. Conduct Rules

A Participant must not:

  1. represent themselves as an employee, agent, recruiter, representative, partner or spokesperson of lalalab;
  2. make commitments on behalf of lalalab;
  3. promise particular prices, payments, contract terms or data valuations;
  4. guarantee that lalalab will purchase, license or commercialise a dataset;
  5. distribute false or misleading information about lalalab or the Referral Programme;
  6. pressure or coerce a Contact Person or Referred Organisation;
  7. share personal data without permission;
  8. use spam, unsolicited bulk messages or automated outreach;
  9. submit false, duplicate, automated or fictitious Referrals;
  10. refer their own employer or company without disclosure;
  11. register or participate through multiple accounts;
  12. offer or share any part of a Referral Reward with a decision-maker, employee, buyer, public official or representative of the Referred Organisation;
  13. use the Referral Programme in breach of sanctions, anti-bribery, anti-corruption or procurement laws;
  14. use the lalalab name, trade marks or materials outside the limited permission granted under Section 17; or
  15. engage in conduct that could reasonably damage the reputation, goodwill or business relationships of lalalab.

14. Conflicts of Interest, Bribery and Integrity

14.1

The Participant must disclose all relevant conflicts of interest before submitting a Referral.

14.2

The Participant confirms that no Referral Reward:

  1. will be used to improperly influence a commercial decision;
  2. will be shared with a person responsible for approving the relationship on behalf of the Referred Organisation;
  3. will be offered to a public official;
  4. breaches an internal policy of the Referred Organisation; or
  5. constitutes a prohibited commission, kickback or bribe.

14.3

Where the Participant is an employee, director, adviser or contractor of the Referred Organisation, lalalab may require an authorised representative of that organisation to confirm in writing that:

  1. the relationship is known;
  2. participation in the Referral Programme is permitted; and
  3. payment of the Referral Reward does not create a prohibited conflict of interest.

14.4

lalalab may reject a Referral or suspend payment where reasonable integrity, bribery or corruption concerns exist.

15. Sanctions and Restricted Parties

15.1

The Participant represents that, to the best of their knowledge, they:

  1. are not included on an applicable sanctions or restricted-parties list;
  2. are not owned or controlled by a sanctioned party;
  3. are not operating from a territory subject to a comprehensive trade prohibition; and
  4. will not use the Referral Programme to circumvent sanctions.

15.2

The Participant must not refer an organisation where they know or reasonably should know that the organisation or its ultimate beneficial owners are subject to applicable sanctions.

15.3

lalalab may refuse payment where payment is prohibited by law.

16. Privacy and Personal Data

16.1

lalalab processes personal data in accordance with its Privacy Policy and applicable data-protection laws.

16.2

The Participant may provide only the personal data necessary for the Referral.

16.3

Without lalalab’s prior written approval, the Participant must not provide:

  1. special-category personal data;
  2. medical information;
  3. biometric data;
  4. criminal-offence data;
  5. national identification numbers; or
  6. personal data relating to individuals who are not directly involved in the Referral.

16.4

Where lalalab receives a Contact Person’s personal data from the Participant, lalalab may inform the Contact Person of:

  1. the identity of lalalab;
  2. the source of the personal data;
  3. the purpose of the processing;
  4. the applicable legal basis;
  5. the relevant retention periods; and
  6. the Contact Person’s legal rights.

16.5

Permission for an initial referral-related contact does not constitute permission for unrelated general marketing.

16.6

The Participant must retain evidence of the Contact Person’s permission for at least twelve months after submitting the Referral.

16.7

Where a Contact Person objects to being contacted or requests deletion, the Participant must notify lalalab promptly through the contact form on the Website.

17. Use of the lalalab Name and Materials

17.1

Subject to compliance with these Terms, lalalab grants the Participant a limited, revocable, non-exclusive and non-transferable right to use official referral links and materials approved by lalalab solely for participation in the Referral Programme.

17.2

The Participant must not:

  1. modify lalalab logos or materials;
  2. create advertisements that suggest they are an official lalalab channel;
  3. register domain names, trading names or social-media accounts containing “lalalab” or a confusingly similar name;
  4. purchase paid-search advertising using the lalalab name without prior written approval;
  5. publish false or misleading comparisons or claims; or
  6. continue using lalalab materials after participation has ended.

17.3

All intellectual-property rights in the lalalab name, Website, content, software and materials remain owned by lalalab or its licensors.

18. Use of the Website

18.1

The Website may be used only lawfully and for the purpose of participating in the Referral Programme.

18.2

A Participant must not:

  1. circumvent security measures;
  2. disrupt or interfere with the Website;
  3. upload malicious software;
  4. scrape data without permission;
  5. automate the submission of Referrals;
  6. use another person’s account;
  7. reverse engineer the Website, except where a restriction is prohibited by law;
  8. use the Website or its content to train or improve artificial-intelligence systems without prior written approval; or
  9. collect personal data relating to other users.

18.3

The Participant is responsible for keeping any account credentials confidential.

19. No Agency, Employment or Partnership

19.1

Participation in the Referral Programme does not create:

  1. an employment relationship;
  2. a general consultancy or services relationship beyond the limited Referral arrangement;
  3. an agency relationship;
  4. a franchise;
  5. a joint venture;
  6. a partnership; or
  7. any authority to represent lalalab.

19.2

The Participant may not bind lalalab or enter into agreements or make commitments on behalf of lalalab.

19.3

The Participant independently determines whether, when and how to make permitted introductions.

19.4

lalalab does not guarantee any minimum number of Referrals, income or Referral Rewards.

20. Changes to the Referral Programme

20.1

lalalab may change the Referral Programme and these Terms for future Referrals.

20.2

Material changes will be published on the Website and will apply from the stated effective date.

20.3

An Accepted Referral will generally remain subject to the Reward Schedule that applied when lalalab accepted that Referral.

20.4

lalalab may amend the conditions applying to an Accepted Referral where necessary because of:

  1. a change in applicable law;
  2. a binding decision of a regulator or competent authority;
  3. fraud or security risks; or
  4. an obvious administrative error.

20.5

A change will not be applied retroactively to remove a Referral Reward that has already been earned.

21. Termination

21.1

A Participant may stop participating at any time.

21.2

lalalab may suspend or terminate a Participant’s participation where:

  1. the Participant breaches these Terms;
  2. fraud, abuse or misrepresentation has occurred;
  3. a conflict of interest was not disclosed;
  4. legal or compliance risks exist; or
  5. continuation cannot reasonably be required of lalalab.

21.3

lalalab may change, suspend or terminate the Referral Programme for the future.

21.4

Termination of the Referral Programme does not affect Referral Rewards earned before the termination date.

21.5

Accepted Referrals submitted before the termination date will continue to be assessed under the applicable Reward Schedule for the remainder of their confirmed eligibility period, unless:

  1. the termination relates to fraud or abuse;
  2. continuation is prohibited by law; or
  3. the parties agree otherwise in writing.

21.6

Sections that by their nature are intended to survive termination, including payment, clawback, privacy, liability, intellectual property and dispute provisions, will continue to apply.

22. Availability and Disclaimers

22.1

The Website and Referral Programme are provided on an availability basis.

22.2

lalalab does not guarantee that:

  1. the Website will always be available without interruption;
  2. every Referral will be assessed or accepted;
  3. a Referred Organisation will enter into an agreement;
  4. a dataset will have a particular commercial value;
  5. a Referral will result in a payment; or
  6. the Referral Programme will continue indefinitely.

22.3

Nothing in these Terms limits lalalab’s express obligation to pay a Referral Reward that has been earned in accordance with these Terms.

23. Liability

23.1

To the extent permitted by law, lalalab is not liable for indirect damage, consequential damage, loss of profit, loss of anticipated savings, reputational damage or loss of business opportunity.

23.2

The total liability of lalalab in connection with the Referral Programme is limited, per Participant, to the higher of:

  1. the Referral Rewards paid or validly payable to the Participant during the twelve months preceding the event giving rise to the claim; and
  2. €1,000.

23.3

The limitation in Section 23.2 does not apply to:

  1. the obligation to pay an earned Referral Reward;
  2. damage caused by intentional misconduct or deliberate recklessness of lalalab’s management;
  3. death or personal injury to the extent caused by lalalab; or
  4. liability that cannot legally be excluded or limited.

23.4

The Participant must notify lalalab of any potential claim as soon as reasonably possible through the contact form on the Website and must take reasonable steps to limit any loss.

24. Participant Liability and Indemnity

24.1

The Participant is liable for direct loss suffered by lalalab as a direct result of:

  1. fraud or intentional misrepresentation;
  2. unauthorised disclosure of personal data or confidential information;
  3. infringement of a third party’s intellectual-property rights;
  4. prohibited bribery or kickbacks;
  5. unauthorised commitments made on behalf of lalalab; or
  6. a material breach of these Terms.

24.2

The Participant indemnifies lalalab against reasonable third-party claims that arise directly from the conduct described in Section 24.1.

24.3

In relation to such a claim, lalalab will:

  1. inform the Participant within a reasonable period;
  2. provide the Participant with a reasonable opportunity to provide relevant information; and
  3. not enter into a settlement imposing a non-financial obligation on the Participant without consulting the Participant.

24.4

The indemnity does not apply to the extent that the relevant loss was caused or contributed to by lalalab.

25. Referral and Payment Disputes

25.1

Where a Participant disagrees with:

  1. the rejection of a Referral;
  2. a decision regarding the original source of a Referral;
  3. the calculation of a Referral Reward;
  4. a payment suspension; or
  5. a clawback decision,

the Participant may submit an objection within 30 days after receiving notice of the relevant decision.

25.2

The objection must be submitted through the contact form on the Website and must include:

  1. details of the relevant Referral;
  2. the decision being challenged;
  3. the reasons for the objection; and
  4. any relevant evidence.

25.3

lalalab will reassess the decision and will aim to provide a substantive response within 30 days.

25.4

Before starting court proceedings, the parties will attempt to resolve the dispute in good faith for at least 30 days, unless urgent interim relief is required.

26. Force Majeure

26.1

lalalab is not liable for delay or failure caused by circumstances outside its reasonable control, including:

  1. failures of banks or payment service providers;
  2. cyberattacks;
  3. government measures;
  4. war, terrorism or sanctions;
  5. strikes;
  6. natural disasters;
  7. failure of essential infrastructure; or
  8. prolonged internet or cloud-service outages.

26.2

Force majeure does not permanently release lalalab from its obligation to pay an earned Referral Reward once performance again becomes reasonably possible.

27. Assignment

27.1

The Participant may not assign rights or obligations under these Terms without lalalab’s prior written approval.

27.2

lalalab may assign its rights and obligations to:

  1. an affiliated company;
  2. a legal successor;
  3. a purchaser of its business or relevant activities; or
  4. another party that continues the Referral Programme,

provided that this does not materially reduce any Referral Reward already earned by the Participant.

28. Entire Agreement and Order of Priority

28.1

These Terms, the Privacy Policy, the applicable Reward Schedule and the written acceptance of a specific Referral together form the complete agreement relating to that Referral.

28.2

In the event of a conflict, the following order of priority applies:

  1. the written acceptance of the specific Referral;
  2. the specific Reward Schedule;
  3. these Terms; and
  4. general information published on the Website.

28.3

Oral commitments are binding only where confirmed in writing by an authorised representative of lalalab.

29. Severability and Waiver

29.1

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

29.2

The invalid or unenforceable provision will be replaced with a valid provision that most closely reflects its original purpose and commercial intent.

29.3

A failure by lalalab to exercise a right immediately does not constitute a waiver of that right.

30. Governing Law and Jurisdiction

30.1

These Terms, the Referral Programme and every Referral are governed by the laws of the Netherlands.

30.2

The parties will first attempt to resolve any dispute in accordance with Section 25.

30.3

To the extent permitted by mandatory law, disputes will be submitted exclusively to the competent court of the District Court of Amsterdam, the Netherlands.

30.4

Where a Participant has a mandatory legal right to bring a dispute before another competent court, that right remains unaffected.

31. Language

31.1

This English version governs the international Referral Programme.

31.2

Translations may be provided for information purposes. In the event of any difference or inconsistency, this English version will prevail, unless mandatory law requires otherwise.

32. Contact

All questions, notices, objections and requests concerning:

  1. the Referral Programme;
  2. a specific Referral;
  3. Referral Rewards;
  4. these Terms; or
  5. privacy and personal data,

must be submitted through the official contact form available on the lalalab Website.

lalalab does not accept formal notices or Referral Programme enquiries by email unless lalalab has expressly agreed otherwise in writing.
